Juniper Networks (NYSE: JNPR) announced today that concurrently with the filing of its upcoming 10-Q, it intends to file a universal shelf registration statement on Form S-3 with the Securities and Exchange Commission (SEC). This shelf registration statement will replace Juniper's prior shelf registration statement, which has expired, and will give Juniper the ability to register the offer and sale from time to time of up to an aggregate of $1.5 billion of securities, which may consist of common stock, preferred stock, debt securities, warrants, depositary shares, or units consisting of any of the foregoing.
The terms of any offering under the shelf registration statement will be determined at the time of offering. While Juniper does not have any immediate plans to offer securities under this shelf registration, it is intended to give Juniper flexibility to take advantage of financing opportunities as needed or deemed desirable in light of market conditions.
