A 13D is a required form for an investor owning 5% or more of a specific company. A 13D filer is often an activist investor and numerous details including the investor's "Purpose of Transaction" are required to be disclosed. Non-activist investors may also file a 13D, but these so called passive investors more often file the shorter form 13G.
